By accessing or using Kolz.AI ("Platform", "Service", "we", "us", or "our"), operated by Kolz Inc., you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Service Description

Kolz.AI provides an AI-powered bulk calling platform that enables businesses to:

• Manage contact lists and calling campaigns
• Access real-time analytics and call recordings
• Integrate with third-party CRM and business tools

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time without prior notice.

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Service. By registering, you represent that all information provided is accurate and current.

3.2 Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access or security breach
• You are liable for all activities conducted under your account
• We recommend enabling two-factor authentication (2FA) for enhanced security

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or misuse the Service.

You agree NOT to use the Service to:

• Illegal Activities: Violate any local, state, national, or international law or regulation
• Harassment: Make unwanted, abusive, threatening, or harassing calls
• Spam Calls: Contact individuals on Do Not Call (DNC) registries without proper exemption
• Fraud: Conduct phishing, scams, or fraudulent schemes
• Impersonation: Falsely represent yourself as another person or entity
• Unauthorized Marketing: Send unsolicited commercial messages without prior consent (where required by law)
• System Abuse: Attempt to hack, overload, or disrupt our infrastructure
• Data Scraping: Use automated tools to extract data without permission
• Resale: Resell or redistribute our Service without authorization
• Prohibited Content: Distribute content that is defamatory, obscene, hateful, or violates intellectual property rights

Violation of this policy may result in immediate account suspension and legal action.

You are solely responsible for ensuring your calling campaigns comply with all applicable laws, including but not limited to:

• TCPA (USA): Telephone Consumer Protection Act - obtain prior express written consent for automated calls
• DNC Registry (USA): National Do Not Call Registry compliance
• GDPR (EU): General Data Protection Regulation for European contacts
• NDNC (India): National Do Not Call Registry compliance
• Local Regulations: Any country-specific telemarketing or privacy laws
• Caller ID: Display accurate caller identification information
• Opt-Out Mechanisms: Provide clear opt-out options in your calls

Kolz.AI is a technology platform and does not provide legal advice. Consult with legal counsel to ensure compliance with all applicable laws in your jurisdiction.

6.1 Subscription Plans

We offer various subscription tiers with different features and call credits. Current pricing is available on our website at kolz.ai/bulk#pricing.

6.2 Billing

• Credit packages are charged upfront and non-refundable
• Subscriptions auto-renew unless canceled before the renewal date
• All prices are in USD unless otherwise stated
• Invoices are sent to your registered email address
• Payment methods include credit/debit cards and other methods as displayed at checkout

6.3 Refund Policy

Due to the nature of our service (instant call credits and AI processing):

• Credit purchases are non-refundable once processed
• Subscription fees are non-refundable for partial billing periods
• Refunds may be granted at our sole discretion in cases of service failure or technical errors
• To request a refund, contact sales@kolz.ai within 7 days of purchase

6.4 Price Changes

We reserve the right to modify pricing at any time. Changes will be communicated 30 days in advance and will apply to new purchases or renewals after the effective date.

7. Intellectual Property Rights

7.1 Our Property

The Service, including its design, software, code, trademarks, logos ("Kolz.AI", "Kolz.Bulk"), and content, is owned by Kolz Inc. and protected by copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain ownership of the contact lists, scripts, and data you upload ("User Content"). By using our Service, you grant us a limited license to:

• Store and process your User Content to deliver the Service
• Use anonymized, aggregated data for analytics and service improvements
• Display your campaign performance metrics to you

You represent that you own or have the necessary rights to all User Content you upload.

7.3 Restrictions

You may not reverse-engineer, decompile, copy, or create derivative works from our Service without prior written consent.

8. Data Privacy and Security

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to such processing and warrant that all data provided is accurate.

We implement industry-standard security measures, but cannot guarantee absolute security. You are responsible for securing your account credentials and User Content.

9. Service Availability and Support

9.1 Uptime

We strive to provide 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.

9.2 Support

Support is provided via email at sales@kolz.ai. Response times vary based on your subscription tier.

10.1 "AS IS" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Fitness for a particular purpose
• Accuracy, reliability, or timeliness of results
• Uninterrupted or error-free operation
• Freedom from viruses or other harmful components

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOLZ INC. SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Third-party actions or integrations
• User Content or actions taken by other users

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10.3 Indemnification

You agree to indemnify and hold Kolz Inc. harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

11. Third-Party Services and Integrations

Our Service may integrate with third-party providers (e.g., Vapi.ai for voice AI, payment processors, CRM tools). We are not responsible for:

• Availability, performance, or security of third-party services
• Changes to third-party pricing or terms
• Data practices of third-party providers (review their privacy policies)

12. Termination

12.1 By You

You may close your account at any time through the dashboard or by contacting support. Unused credits will not be refunded.

12.2 By Us

We may suspend or terminate your account immediately if:

• You violate these Terms or our Acceptable Use Policy
• Your account is involved in fraudulent or illegal activity
• Your payment method fails repeatedly
• We are required to do so by law

12.3 Effect of Termination

Upon termination, you lose access to the Service, and your User Content may be deleted after 90 days. Provisions related to intellectual property, indemnification, and liability survive termination.

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

13.2 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the Indian Arbitration and Conciliation Act, 1996. Arbitration will be conducted in English.

13.3 Exceptions

Either party may seek injunctive or equitable relief in court to prevent intellectual property infringement or unauthorized access.

14. General Provisions

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Kolz Inc.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any affiliate or successor entity.

14.5 Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control (e.g., natural disasters, war, cyberattacks, government actions).

15. Changes to These Terms

We may update these Terms from time to time. Significant changes will be communicated via:

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must discontinue use of the Service.
